1. Introduction

These Terms and Conditions ("Terms") govern your use of services provided by Flownix Labs ("Flownix Labs," "we," "us," or "our"), operated by Tamil Iniyan, a sole proprietorship registered in India, with a business address at No 40, 12th Cross Road, Magadi Road, Bangalore - 560023.

By engaging our services or accessing flownixlabs.com, you agree to be bound by these Terms. If you disagree with any part, you may not use our services. You represent that you are at least 18 years of age. Flownix Labs does not permit those under 18 to use our services.

2. Services

Flownix Labs provides done-for-you AI automation, revenue systems and content infrastructure services, including but not limited to:

• Lead generation, verification and enrichment systems
• Cold email infrastructure setup including domains, mailboxes, warmup and deliverability configuration
• Outbound prospecting campaigns via email and LinkedIn
• AI-powered outreach and personalisation systems
• CRM configuration, pipeline setup and performance dashboards
• GoHighLevel (GHL) automation and workflow builds
• Content automation including blog, social media, podcast repurposing and distribution pipelines
• Claude Agentic Systems and multi-agent AI workflows
• AI sales agent and customer support agent installation
• n8n workflow design, development and deployment

The specific scope of services for any engagement will be defined in your individual service agreement or onboarding documentation.

3. Payment and Fees

3.1 Project-Based Engagements

For one-time builds, a deposit of 50% of the agreed project fee is due prior to commencement of work. The remaining balance is due upon delivery of the completed system. Payment schedules may vary and will be specified in your individual agreement.

3.2 Retainer Engagements

Where ongoing support or retainer services are agreed, fees are due at the start of each billing cycle. Either party may cancel by providing written notice at least 15 days before the end of the current billing period.

3.3 Payment Methods

Payments are processed via Stripe, PayPal, bank transfer or another payment method mutually agreed upon. All fees are quoted in USD unless otherwise stated.

3.4 Late Payment

We reserve the right to suspend services if payment is not received within 7 days of the due date. Services resume upon receipt of outstanding payment.

3.5 Refund Policy

Clients who cancel within 3 business days of making a deposit and before any work has commenced will receive a full refund. After work has commenced, the deposit is non-refundable. Remaining balance payments are non-refundable once the delivery milestone they correspond to has been completed.

4. Client Responsibilities

You are responsible for providing all information, approvals and access required for Flownix Labs to perform its services, including:

• Accurate information about your business, target market and ideal customer profile
• Timely responses to onboarding questionnaires and feedback requests
• Access to relevant tools, CRM systems, API credentials and platforms
• Compliance with all applicable laws in your use of the systems we build, including CAN-SPAM, GDPR, CASL and any applicable regional marketing or data protection laws

We are not responsible for delays or underperformance caused by your failure to provide required information, access or approvals.

5. Ownership of Deliverables

All workflows, automations, sequences, lead systems, content pipelines and campaign assets built by Flownix Labs specifically for your engagement are owned by you upon full payment. We retain no ongoing claim over work product created for your business.

Our proprietary methodologies, internal frameworks, templates and systems documentation remain the sole property of Flownix Labs.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement, including business strategies, client data, pricing, campaign performance, API credentials and the content of any service agreement. This obligation survives termination of the engagement.

7. Data and Records

You are solely responsible for managing, storing and backing up all data and records related to leads, contacts and campaigns generated through the systems we build. Flownix Labs does not maintain long-term storage of client data and is not liable for any loss of data following the conclusion of an engagement.

8. No Guarantee of Results

Flownix Labs builds automation and revenue systems based on proven methodologies and best practices. However, results depend on factors outside our control including your market, offer, pricing, competition, team and sales process. We do not guarantee specific outcomes including any defined number of leads, meetings, replies or revenue generated. We commit to building systems correctly, optimising based on performance data and working collaboratively with you to improve results.

9. No Warranty

Our services are provided "as is" without warranty of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or that results will meet your specific expectations. Third-party platforms, APIs and tools used within your system may change without notice and may require maintenance to keep your system operational.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Flownix Labs will not be liable for any indirect, special, consequential, incidental or punitive damages arising from your use of our services, including lost revenue, lost profits or loss of data. Our total liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold Flownix Labs and Tamil Iniyan harmless from any claims, losses, damages, liabilities or expenses arising from your breach of these Terms, your use of the systems we build, or your violation of any applicable law or third-party right.

12. Anti-Spam Compliance

Flownix Labs is committed to ethical and legally compliant outreach. All outbound systems we build include as standard:

• Clear identification of the sender in every communication
• A functioning and clearly visible opt-out or unsubscribe mechanism in every email
• Honest, non-deceptive subject lines
• Immediate processing of unsubscribe requests
• Targeting of business-to-business contacts only

Clients engaging Flownix Labs for outbound systems agree to:

• Use the systems and contact lists we build only for lawful business purposes
• Not add contacts who have previously opted out or unsubscribed
• Not instruct Flownix Labs to send deceptive, misleading or harassing communications
• Comply with all applicable anti-spam laws in the jurisdictions where their business operates

We reserve the right to immediately suspend or terminate services for any client found to be using our systems in violation of this policy or applicable law.

13. Termination

Either party may terminate services at any time by providing written notice to tamiliniyan@flownixlabs.com. Termination takes effect at the end of the current billing period for retainer engagements. For project-based work, termination after commencement forfeits the deposit. No refunds are provided for work already completed at the time of termination.

14. Governing Law

These Terms are governed by the laws of India. Any dispute arising from these Terms or your use of our services shall first be subject to good-faith negotiation between both parties for a period of 30 days. If unresolved, disputes shall be subject to the jurisdiction of the courts of Bangalore, Karnataka, India.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or website notice. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
